Terms of Service

1. Who we are

AuditTrail is operated by James Heap, sole proprietor, Qualicum Beach, British Columbia, Canada. “AuditTrail,” “we,” “us,” and “our” in these terms refer to that sole proprietorship. “You” refers to the individual who submitted a beta application or received an invitation to participate in the closed beta.

2. What AuditTrail does

AuditTrail is a tamper-evident record-keeping product for regulated professionals who use AI tools. The browser extension captures AI conversations, attaches a cryptographic hash chain, and stores records in an encrypted cloud vault. Users can search, export, and share cryptographically verifiable audit records.

AuditTrail is a record-keeping tool only. It does not provide legal advice, professional counsel, regulatory guidance, or compliance certification. It does not evaluate the quality or accuracy of AI outputs. Using AuditTrail does not constitute compliance with any specific regulation.

3. Beta access

Access to AuditTrail is currently closed beta, invite-only. Applying via the beta-cohort form does not guarantee access. We will extend invitations at our discretion based on fit with our target user profile (regulated professionals in Canadian jurisdictions).

Beta access is provided free of charge and without warranty. The product is incomplete. Features may change, break, or be removed without notice. Data captured during the beta is preserved on a best-efforts basis but is not covered by any service-level agreement.

Paid access will be subject to separate subscription terms, at the pricing published at audittrail.ca/pricing, and will not activate without your explicit consent.

4. Acceptable use

You agree to use AuditTrail only for lawful purposes. You may not:

  • Use AuditTrail to capture conversations you do not have the right to record under applicable law or professional rules.
  • Attempt to reverse-engineer, tamper with, or circumvent the hash-chain tamper-evidence mechanism.
  • Share your beta credentials with any third party or allow others to access your account.
  • Use the product in a way that violates your professional body’s rules of conduct (e.g., capturing client-confidential AI conversations without appropriate consent or privilege protection).
  • Attempt to introduce malicious data, conduct denial-of-service attacks, or otherwise harm the service or other users.

5. Your data

You own your data. AuditTrail does not claim any intellectual property rights over the AI conversation records you capture. We process your data solely to provide the service and as described in our Privacy Policy.

You are responsible for ensuring you have the legal right to capture and store the conversations you record. AuditTrail does not review your captured content and cannot advise on privilege, confidentiality, or professional obligations.

6. Service availability

During the beta period, AuditTrail is provided on a best-efforts basis with no uptime guarantee. We may suspend or terminate the beta at any time. If we terminate the beta before paid launch, we will provide at least 14 days’ notice and make your data available for export during that window.

7. Limitation of liability

To the maximum extent permitted by law, AuditTrail and James Heap shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, or professional sanctions, arising from your use of or inability to use the service.

AuditTrail provides tamper-evidence of what was captured. It does not guarantee the completeness of captured records, the accuracy of AI outputs, or that any regulator, insurer, or tribunal will accept exported records as sufficient evidence.

8. Termination

You may stop using AuditTrail at any time. To request deletion of your data, email james@audittrail.ca. We will respond within 30 days. See the Privacy Policy for how deletion interacts with the hash-chain record.

We may terminate your beta access if you violate these terms or if your use of the product creates legal, regulatory, or reputational risk for AuditTrail. We will provide notice and an export opportunity unless termination is required for security reasons.

9. Governing law

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any dispute arising from these terms shall be resolved in the courts of British Columbia.

10. Changes to these terms

We will email active beta participants before making material changes to these terms. The updated date at the top of this page reflects the most recent revision. Continued use of the service after notice of material changes constitutes acceptance.
